Franchise Owner Classification
JAN-PRO franchise owners are independent business operators who manage their own commercial cleaning businesses under the JAN-PRO brand. As independent contractors, franchise owners:
- Set their own schedules and determine their own work hours
- Make their own hiring and staffing decisions
- Establish their own business entities and maintain their own business insurance
- Control the day-to-day operations of their businesses
- Determine the manner and means by which cleaning services are performed
The franchisor provides brand standards, training, proprietary technology platforms, and operational support but does not direct or control the manner and means by which franchise owners perform their work.
Legal History
JAN-PRO has been involved in legal proceedings regarding the classification of franchise owners as independent contractors. These proceedings include:
- Vazquez v. JAN-PRO Franchising International (California): A class action matter regarding worker classification under California law, which was resolved through a class settlement in 2023.
- Depianti v. JAN-PRO (Massachusetts): A matter establishing that multi-tiered franchise structures do not shield parent companies from classification liability under certain state laws.
JAN-PRO continues to classify franchise owners as independent contractors consistent with applicable federal and state law. Full details of past and pending litigation are disclosed in Item 3 of the Franchise Disclosure Document, which is available to all prospective franchise owners.
State-Specific Standards
In states that apply the ABC test for worker classification — including California (AB 5) and Massachusetts (M.G.L. ch. 149 § 148B) — JAN-PRO franchise owners operate as independently established businesses that are free from the franchisor's control and direction in performing their services. The franchise relationship is structured to ensure compliance with applicable classification standards.
